Buyer Representation
A well executed acquisition strategy can create substantial growth and value. Our professionals have developed and executed successful acquisition strategies for major corporations and hundreds of clients. We assess thoroughly a client’s existing and prospective ability to acquire other companies; identify and develop a plan to pursue targets; contact targets on a confidential basis to promote a compelling rationale for a transaction; evaluate potential targets with respect to value, risks and benefits; negotiate and structure transactions; and obtain transaction financing.
Leveraged Buyouts (LBOS)
In almost all divestiture or change of ownership situations, a company insider or group of insiders is a potential acquirer. Anderson & Strudwick assists insiders in creating a business plan for the acquisition, assessing the value of the transaction, negotiating key terms, and developing a financing plan. Our professionals then use our extensive network of equity and debt sources to secure financing for the transaction.
Hostile Takeover Defense
Anderson & Strudwick fully understands
the issues surrounding “unsolicited” or “hostile”
attempts by predatory organizations or individuals to acquire
undervalued publicly held institutions. We assist an increasing
number of institutions in developing/executing effective shareholder
protection strategies that allow the client to achieve full
potential while withstanding the action of predators. In the
event that a sale is the best method to maximize shareholder
value, Anderson & Strudwick identifies and contacts potential
“white knights” to rescue the company from hostile
acquirers.
